Conditions

Quotation valid for next three days.
Rates are inclusive of all kind of taxes.
AMC charges are included forfive years.
Final offer will be subjected to DPR approval and any changes in detailed project reportshared by design/salesteam will attract additional charges as per actuals.
Any change in makes/brands will attract additional cost.
Customer order value will be final and will be shared after DPR finalization.
This Proposal belong to Falak Enterprise

Assumptions

The Solar Plant will be installed atsingle location only within their own Premises.
The Customer will provide required shadow free Area for Solar Plant Installation.
The Customer must have Permanent Connection Load.
The Customer will provide power, water and storage facilitiesfor construction of plant.
All calculationsrelated to plant performance are under ideal conditions.
The output of Solar Power Plant will be connected to single meter only.

SOW

Falak Enterprise’ s scope is restricted to design & engineering, procurement & supply, packaging & forwarding, erection, testing and commissioning of Equipment’s as per agreed scope, technical offer and specifications.’
Thisscope isfor agreed timelines and in accordance with other provisions and obligations of each Party.
Unless specifically agreed by us in writing, no other supply orservices shall be considered as part of our scope/ deliverable /obligation.

Schedule of Payments

ADVANCE (As per payment Terms Discussed)

INR 5k/10k of offered price as advance for designing, DPR and liasoning.
60% of offered price as advance against MMS and BOS delivery confirmation.
30% of offered price againstsolar panels and inverter delivery confirmation.
Final pending amount of the offered price after COD (Commercial Operational Date) of the plant

Time Schedule

The entire project activity would take 6-8 weeks’ time starting from receiving
final advance up till commissioning of site in ideal scenario.

Taxes & Duties(GST)	(Included ) As Actual i.e. 13.8 % (12% on70 percent component and 18% on remaining 30%).
Freight & Transit Insurance	Included
Interest on Overdue Payment	In case Owner fails to make the due payment within the agreed stipulated timeframe, the Contractor shall be eligible to charge an interest @ of 18% per annum on all overdue payments until the duration payments are received.
System financing	Options are available and varies on case to case basis.
Packing	Packing will be done as per Falak Enterprise Standards. Included in price
Deemed Commissioning	If the grid is not made available by owner to Falak Enterprise within 15 days of the solar power plant being ready for grid connectivity because of which Falak Enterprise cannot conduct the final performance tests, it shall be construed as “Commissioned.”
Annual Maintenance charges(AMC)	AMC charges would be applicable after 5 years since date of commissioning and would be INR 2 per watt.

Approvals	Any type of approval by Government/third party is excluded from this offer, if it is required then all the terms and conditions will be decided after mutual understanding. Any delay in projects due to any kind of approval will not be responsibility of Falak Enterprise.
Inspections	Any type of inspection by Government/third party/client is excluded from this offer, if it is required then all the terms and conditions will be decided after mutual understanding. All the cost for this inspection will be given by client
Force Majeure	Falak Enterprise shall not be liable for any failure of or delay in the performance of this agreement/proposal for the period that such failure or delay is due to causes beyond its reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders or any other force majeure event.
Change in Standard consideration/considerations	Any change in standard consideration/ considerations for technical designing of the system & scope of work will affect the design of the system as well as quoted price & increased price will be given by client.
Right & Lien of Property	We shall retain the right on equipment, materials or parts supplied by us under this quotation until full value thereof as per our invoice has been fully paid to us.
